These Terms of Service (“Terms”) govern your access to and use of the products, websites, dashboards, integrations, and services offered by Qbexel (“Qbexel,” “we,” “our,” or “us”), including KomoChat and Automate V2 (together, the “Services”).
By creating an account, connecting a platform, using the Services, or allowing your team to use the Services, you agree to these Terms. If you do not agree, do not use the Services.
These Terms are written for business users and the businesses that use our platform on behalf of their operations.
01. Who We Are
Qbexel builds business software that helps merchants and online businesses manage customer conversations, orders, shipping, payments, stock, and profit tracking.
Our Services include:
- KomoChat — an AI-powered sales agent for business conversations on social and messaging platforms.
- Automate V2 — a business operations system that supports order entry, courier workflow, accounting, inventory control, and business reporting.
We may also provide related dashboards, APIs, forms, integrations, support tools, and future product features.
02. Acceptance of These Terms
By using the Services, you confirm that:
- you are acting on behalf of a business or organization, or you are otherwise authorized to enter into these Terms;
- you are at least the age required by law to enter into a binding agreement in your jurisdiction;
- all information you provide is accurate and complete;
- you will use the Services only for lawful business purposes.
If you use the Services on behalf of a company or other entity, then that entity is bound by these Terms, and you confirm that you have authority to bind it.
03. Changes to These Terms
We may update these Terms from time to time. When we do, we may post an updated version on our website or dashboard and change the “Last updated” date.
If you continue using the Services after the updated Terms become effective, you agree to the revised version.
04. Description of the Services
Qbexel provides business automation and sales technology designed to help clients manage the full lifecycle of their business operations. Depending on the product and configuration, the Services may allow you to:
- respond to customer inquiries;
- use AI to assist with sales conversations;
- understand text, images, and voice messages;
- capture and organize orders from social platforms, websites, spreadsheets, or other sources;
- connect courier services for shipping and delivery;
- track order status and delivery progress;
- record payments, returns, cancellations, and profit data;
- manage stock and customer history;
- review performance data and business insights.
We may improve, modify, replace, or discontinue features at any time.
05. Service-Specific Terms
5.1 KomoChat
KomoChat is an AI-powered sales assistant built for social-first businesses. It may read and respond to business messages, analyze conversation context, understand images and voice notes, suggest products or replies, and help convert inquiries into confirmed orders.
KomoChat is not a replacement for professional judgment. You remain responsible for reviewing important messages, order details, pricing decisions, product claims, refunds, and compliance-related communications.
5.2 Automate V2
Automate V2 is a business operations platform that helps businesses manage the journey from order confirmation to delivery, payment collection, and profit reconciliation.
It may import orders from chat platforms, websites, or spreadsheets; connect with courier systems; update order and delivery status; track cashbook and accounting entries; calculate profit and losses using data entered or connected by you; reserve stock; and store customer reliability information.
Automate V2 is a workflow and record-management tool. It does not guarantee business outcomes, increased sales, or profit.
06. Accounts and Registration
To use the Services, you may need to create an account or connect a business account. You agree to provide accurate details, keep credentials secure, notify us of unauthorized account access, keep info updated, and ensure your team members follow these Terms.
You are responsible for all activity that occurs under your account, unless applicable law says otherwise. We may refuse registration, suspend access, or request additional verification where needed for security, compliance, abuse prevention, or business risk management.
07. Client Responsibilities
You are responsible for how you use the Services and for the content and data you provide. You agree that you will:
- have the legal right to collect, use, and process customer data you upload or connect;
- provide accurate product, pricing, inventory, shipping, and business information;
- maintain proper notices, consents, and permissions where required by law;
- review AI-generated suggestions before relying on them when accuracy matters;
- keep your customer communications lawful, fair, and non-deceptive;
- honor your own return, refund, shipping, and warranty promises;
- comply with all applicable laws and platform rules.
You must not use the Services to process data you are not permitted to use.
08. Acceptable Use
You may not use the Services to:
- break any law or regulation; send spam, harassment, threats, or abusive content;
- engage in fraud, deception, or illegal sales practices; impersonate another person or business;
- upload malware, spyware, or harmful code; interfere with or disrupt the platform;
- attempt unauthorized access to accounts, systems, or data;
- reverse engineer, copy, or exploit the Services except as allowed by law;
- use the Services in a way that infringes intellectual property rights or for hateful/violent activity.
09. AI and Automation Features
Some parts of the Services use artificial intelligence, automation, and rule-based processing. You understand that AI outputs may be incomplete or inaccurate; automated suggestions are provided for convenience, not as professional advice; and you are responsible for reviewing outputs. We do not guarantee that AI-generated responses, recommendations, classifications, or predictions will be correct in every case.
10. Customer Communications & Platform Integrations
If you connect Facebook, Instagram, WhatsApp, websites, courier systems, or payment systems, you authorize us to process the data needed to provide the service. You are responsible for ensuring that your use of connected services is permitted by their terms, maintaining valid tokens, and complying with platform rules. If a third-party service changes its APIs, some features may stop working.
11. Fees, Billing, and Payment
Some Services may require payment. You agree to pay all applicable fees on time, provide valid payment info, and keep billing details up to date. If a payment fails, we may suspend access. Fees are generally non-refundable unless stated otherwise.
12. Trials, Promotions, and Beta Features
We may offer free trials, demos, pilot programs, or beta features. These are provided for testing and evaluation, may contain bugs, may be discontinued at any time, are provided "as is," and may not be supported in the same way as paid production services.
13. Data, Content, and Ownership
13.1 Your data
You retain ownership of the business data, customer content, product catalogs, and other information you submit to the Services, subject to the rights you grant us.
13.2 License you grant us
You grant Qbexel a worldwide, non-exclusive, limited license to host, process, transmit, copy, and use your data only as needed to operate, secure, support, and improve the Services.
13.3 Our intellectual property
We own the Services, including our software, models, workflows, interface designs, branding, code, documentation, and related materials. You may not copy or resell our Services without written permission.
13.4 Feedback
If you send us ideas, feature requests, or feedback, you grant us the right to use them without restriction or payment.
14. Confidentiality
Each party may receive confidential information from the other. You agree not to disclose our non-public business, technical, or security information except where allowed by law or with our written consent.
15. Privacy
Our collection and use of information is described in our Privacy Policy. By using the Services, you acknowledge that we may process data as described in the Privacy Policy.
16. Security
We use reasonable measures to protect the Services and the data we process. You are responsible for keeping credentials secure, limiting internal access to authorized members, and reporting suspicious activity. No system is fully secure.
17. Availability and Changes to the Services
We try to keep the Services available, but we do not guarantee uninterrupted operation. We may suspend or modify any part of the Services for maintenance, security, legal compliance, or other force majeure reasons. We are not responsible for losses caused by downtime, delayed messages, or courier issues.
18. Third-Party Services
The Services connect to third-party integrations (Facebook, WhatsApp, couriers, payment processors, hosting, etc.). Third-party services are controlled by their own terms and policies. We do not control them and are not responsible for their acts or changes.
19. Suspension and Termination
We may suspend or terminate your access if you violate these Terms, if your payment is overdue, or if your use creates legal or operational risks. You may stop using the Services at any time.
20. Returns, Refunds, and Business Outcomes
Our Services are software tools. They do not guarantee revenue, sales growth, or specific business outcomes. Unless agreed otherwise, subscriptions and setup fees are non-refundable. Your commercial outcomes depend on factors outside our control.
21. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. We disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
22. Limitation of Liability
To the maximum extent permitted by law, Qbexel and its affiliates will not be liable for lost profits, lost revenue, lost data, business interruption, or indirect, consequential, or punitive damages. Our total liability for any claim will not exceed the amount you paid to us in the period related to the claim.
23. Indemnity
You agree to defend, indemnify, and hold harmless Qbexel and its employees from any claim, loss, liability, damage, cost, or expense arising out of or related to your use of the Services, your violation of these Terms, or customer disputes.
24. Governing Law and Dispute Resolution
These Terms are governed by the laws applicable in Bangladesh. Any dispute should first be raised in good faith with us informally. If it cannot be resolved, it may be brought before the competent courts in Bangladesh.
25. Force Majeure
We are not responsible for failure or delay in performance caused by events beyond our reasonable control (telecommunications failures, hosting outages, courier disruptions, power outages, natural disasters, epidemics, etc.).
26. Assignment
You may not assign or transfer these Terms, or your rights, without our written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.
27. Severability
If any part of these Terms is found to be unenforceable, the remaining parts will continue in full force and effect.
28. No Waiver
If we do not enforce a part of these Terms, it does not mean we waive our right to enforce it later.
29. Entire Agreement
These Terms, together with our Privacy Policy and any separate written agreement you sign with us, form the entire agreement between you and Qbexel regarding the Services.

These Terms are intended to create a clear business relationship and protect both you and us while the Services run.
